These Terms of Use (“Terms”) govern your use and access to King Ranch, Inc.’s (“King Ranch”) cattle data repository and management portal (“Platform”). Your exchange of data with King Ranch, including but not limited through the Platform, is also governed by our Data Sharing Agreement.
King Ranch provides you with access to its Platform and we trust you to use the Platform responsibly. By creating an account to access the Platform, you are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You agree to promptly notify King Ranch of any actual or suspected unauthorized access to your account. You also agree not to misuse the Platform. For example, you will not: interfere or attempt to interfere with any user or network, including by sending a virus to, overloading, or flooding the Platform; assign, sell, share, or permit any other person to use your account or access credentials; breach or otherwise circumvent any security or authentication measures; reverse engineer, decompile, decode, or otherwise attempt to derive or discover the source code, underlying structure, algorithms, architecture, models, processes, or other non-public components of the Platform; attempt to gain unauthorized access to other accounts, systems, or data; or otherwise violate the law in any way. King Ranch may require reasonable security measures, including multi-factor authentication and other account protection mechanisms, and may suspend or restrict access to accounts that present a security risk.
King Ranch does not guarantee continuous or uninterrupted availability of the Platform. The Platform may be temporarily unavailable or experience reduced functionality due to maintenance, enhancements, technical issues, security events, third-party service failures, or other operational circumstances. King Ranch shall not be liable for any loss or damage arising from interruptions or unavailability, including as a result of force majeure events, such as: (i) acts of God; (ii) flood, fire, earthquake, pandemic, or explosion; (iii) war, invasion, hostilities, terrorist threats or acts, riot or other civil unrest; (iv) government order, law, or actions; (v) embargoes in effect on or after the date of these Terms; (vi) national or regional emergency; and (vii) strikes, labor stoppages or slowdowns, or other industrial disturbances; and (viii) shortage of adequate power or transportation facilities; and (ix) other similar events beyond the reasonable control of King Ranch.
Content in the Platform may include King Ranch’s intellectual property. By accessing the Platform, you agree to not copy, download, capture, or share King Ranch’s intellectual property other than as provided in the Data Sharing Agreement or otherwise explicitly agreed in writing by an authorized representative of King Ranch. King Ranch retains all right, title, and interest in the Platform and all intellectual property for its trademarks and copyright.
The Platform was built in conjunction with King Ranch’s commitment to innovation, enhancement, and overall improvement of the cattle industry. However, there are certain things King Ranch cannot guarantee. TO THE FULLEST EXTENT PERMITTED BY LAW, KING RANCH AND ITS AFFILIATES MAKE NO WARRANTIES ABOUT THE PLATFORM OR DATA PROVIDED VIA THE PLATFORM AND THE PLATFORM AND DATA PROVIDED VIA THE PLATFORM ARE PROVIDED ON AN “AS-IS” BASIS, AND YOUR USE OF OR RELIANCE ON THE PLATFORM AND/OR THE DATA PROVIDED VIA THE PLATFORM IS AT YOUR OWN RISK. ANY DECISION BY YOU TO USE OR RELY ON THE PLATFORM AND/OR THE DATA PROVIDED VIA THE PLATFORM IS IN YOUR SOLE DISCRETION.
These Terms shall be governed by and construed in accordance with the laws of Texas, without regard to its conflicts of law principles. Any dispute arising out of or relating to these Terms shall be brought in the state or federal courts located in Harris County, Texas, to which each Party hereby consents to exclusive jurisdiction.
King Ranch may revise these Terms in accordance with applicable laws or for purposes of improving, enhancing, or expanding the Platform. By continuing to access the Platform, you agree to be bound by any revised Terms.
